| EXPERIENCE: Mr. Goetz has been actively engaged in the appraisal/investment banking profession since 1983. He has prepared financial analyses and appraisals of stock and partnership interests for many industrial, commercial and institutional clients and assisted in purchase and sale transactions. Appraisals prepared by Mr. Goetz have been used for purposes of mergers and acquisitions, recapitalizations, income tax, gift tax, estate tax, divorces, ESOPs and corporate planning. Mr. Goetz has qualified as an expert witness before various courts, including the United States Tax Court. Mr. Goetz is also active as a business broker. PAST EMPLOYMENT: Prior employment was in the position of Vice President of Commerce Bank, Senior Financial Consultant for Valuation Counselors Inc., Financial Consultant for Marshall and Stevens Incorporated and Business Service Officer for Centerre Trust Company. EDUCATION: Mr. Goetz graduated magna cum laude with a Bachelors degree in Business Administration from Truman State University. He also graduated from St. Louis University School of Law where he earned a J.D. degree with an emphasis in taxation, and was an Oval Phipps Scholar. PROFESSIONAL ORGANIZATIONS: Mr. Goetz is accredited in the valuation of businesses and intangible assets by the American Society of Appraisers (Senior Member), and is also a member of the Missouri State Bar and the Bar Association of Metropolitan St. Louis. He also has served on the Missouri Appraisal Advisory Council and has served as President of the St. Louis Chapter of the American Society of Appraisers. MISCELLANEOUS: Mr. Goetz co-authored an article entitled Valuing Family Limited Partnerships that was published in the March 1998 issue of St. Louis Lawyer, an article entitled The Valuation of Interests in Business Entities that was published in the Winter 1995 issue of Missouri Business Law Quarterly and an article entitled Succession Planning for the Closely-Held Business Owner in the Winter 1997/1998 issue of Missouri Business Law Quarterly. Mr. Goetz also authored an article on gifting stock in family businesses that was published in the Spring 1992 issue of Investors Outlook and co-authored an article on valuing non-compete agreements, which was published in the May/June 1989 issue of Small Business Taxation. Mr. Goetz has served as an arbitrator for both the National Association of Securities Dealers, Inc. (NASD) and the American Arbitration Association (AAA) in securities cases. Mr. Goetz is listed in the 1998 Directory of Who’s Who of American Executives and Professionals. CONTINUING EDUCATION: Mr. Goetz has continued his education by attending numerous seminars, conferences and training sessions, including the following:
TEACHING/SPEAKING: Mr. Goetz has taught business valuation courses at Lindenwood College, part-time, and has lectured on valuing businesses at Washington University's Entrepreneurial Studies Program. In addition, Mr. Goetz has spoken on valuing businesses at seminars sponsored by the Bar Association of Metropolitan St. Louis, the American College of Trust & Estate Counsel, the Southwest Missouri Estate Planning Council, the International Association for Financial Planning and at various Commerce Bank locations. |
