This case involves alleged breaches of fiduciary
duties in that the controlling shareholder of
the subject company used his stockholder power to block
a liquidation of a segment of the company that
was losing money. The court held that
despite the fact that the controlling shareholder
did not act in bad faith, he was liable for the fact
that the fair price of the stock exceeded the
price received by minority shareholders.
