This case involved whether the Class B shareholders have appraisal rights with respect to the transaction consummated, after a corporation sold its assets.  The court also found no express grant of appraisal rights to Class B shareholders in the articles of incorporation.  The Supreme Court affirmed the district court’s judgment.
